Welcome to Oxen. By accessing or using our mobile application, website, or any related services (collectively, the "Platform"), you agree to be bound by these Terms and Conditions ("Terms"). Please read them carefully before using our services. If you do not agree to these Terms, you may not access or use the Platform.
These Terms constitute a legally binding agreement between you ("Shipper", "delivery", or "Driver") and Oxen ("Company", "we", "us", or "our"). We reserve the right to modify these Terms at any time, and your continued use of the Platform constitutes acceptance of any changes.
1. Acceptance of Terms
By creating an account or using Oxen services, you confirm that you are at least 18 years of age, have the legal capacity to enter into a binding agreement, and agree to comply with these Terms and all applicable local laws and regulations. If you are using the Platform on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Description of Services
Oxen provides a technology platform that connects deliveryrs seeking transportation with independent driver-partners. We do not provide transportation services directly. Drivers using the Platform are independent contractors and not employees, agents, or partners of Oxen. Oxen is solely responsible for the Platform and the technology that facilitates connections between deliveryrs and drivers.
Services available on the Platform include, but are not limited to: delivery booking, rental bidding, in-app payment processing, trip tracking, and driver and deliveryr ratings.
3. Shipper Accounts
3.1 Registration
To use the Platform, you must register for an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
3.2 Account Restrictions
You may not create more than one account, share your account with others, or transfer your account to another person. Oxen reserves the right to suspend or terminate accounts that violate these Terms or are found to be fraudulent.
3.3 Driver Accounts
Drivers must pass background verification, hold a valid driver's license, maintain required insurance coverage, and comply with all applicable regulations in their operating region. Oxen reserves the right to deactivate driver accounts that fail to meet these requirements.
4. Payments & Fees
4.1 Fare Calculation
Fares are calculated based on a combination of base fare, distance, time, demand pricing (surge), and any applicable taxes or fees. The estimated fare shown before booking is an approximation; the final fare may differ based on actual trip conditions.
4.2 Payment Methods
Payments are processed through the Platform using the payment method you have registered. By adding a payment method, you authorize Oxen to charge applicable fares, cancellation fees, and any other amounts owed. All payments are non-refundable unless otherwise stated.
4.3 Cancellation Fees
A cancellation fee may apply if you cancel a delivery after a driver has been matched. The fee amount depends on the time elapsed after the driver accepted the request. Oxen reserves the right to adjust cancellation fee policies at any time.
4.4 Driver Earnings
Drivers receive a percentage of the fare collected after Oxen deducts its service fee. Earnings are disbursed to drivers on a schedule determined by Oxen and are subject to applicable taxes that drivers are solely responsible for.
5. Shipper Conduct
Shippers of the Platform agree not to engage in any of the following prohibited conduct:
- Harassing, threatening, or discriminating against drivers, deliveryrs, or Oxen staff.
- Using the Platform for any unlawful, fraudulent, or misleading purpose.
- Damaging, vandalizing, or leaving a vehicle in an unacceptable condition.
- Requesting deliverys on behalf of others without their consent.
- Using the Platform to solicit personal information from other Shippers.
- Attempting to bypass, disable, or circumvent any security feature of the Platform.
- Providing false information during registration or trip requests.
Violation of these conduct standards may result in immediate account suspension or permanent termination, at Oxen's sole discretion.
6. Safety
Oxen is committed to the safety of both deliveryrs and drivers. All Shippers are expected to respect one another and follow applicable traffic and safety laws. deliveryrs must wear seatbelts at all times. Drivers must not operate the vehicle under the influence of alcohol, drugs, or any substance that impairs judgment or driving ability.
Oxen provides an in-app emergency button and trip-sharing features to assist in safety situations. Any safety incident must be reported to Oxen immediately through the app or by contacting our support team.
7. Ratings & Reviews
After each completed trip, both deliveryrs and drivers may rate each other on a scale of 1 to 5 stars. Ratings are used to maintain service quality. Oxen reserves the right to deactivate accounts that consistently fall below our minimum rating threshold. Ratings and reviews must be honest, fair, and not motivated by personal bias or discrimination.
8. Intellectual Property
All content on the Platform, including but not limited to text, graphics, logos, icons, images, audio, and software, is the property of Oxen or its content suppliers and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from any content on the Platform without our prior written consent.
9. Limitation of Liability
To the fullest extent permitted by law, Oxen shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the Platform, including damages for loss of profits, data, or goodwill, even if Oxen has been advised of the possibility of such damages.
Oxen's total liability to you for any claim arising under these Terms shall not exceed the amount you paid to Oxen in the three months preceding the event giving rise to the claim.
10. Indemnification
You agree to indemnify, defend, and hold harmless Oxen and its officers, directors, employees, agents, and successors from any claims, liabilities, damages, losses, and expenses arising out of your use of the Platform, your violation of these Terms, or your violation of any rights of another person or entity.
11. Termination
Oxen may terminate or suspend your access to the Platform at any time, with or without cause, and with or without notice. Upon termination, your right to use the Platform will immediately cease. You may also terminate your account at any time by contacting our support team or using the in-app account deletion feature.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Oxen operates, without regard to its conflict of law provisions. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.
13. Changes to Terms
Oxen reserves the right to modify these Terms at any time. When changes are made, we will update the date at the top of this page and, where appropriate, notify you via email or in-app notification. Continued use of the Platform after any changes constitutes your acceptance of the revised Terms.
